Terms & Conditions

Welcome to Opulent Intelligence ("Company," "we," "our," or "us"). These Terms & Conditions ("Terms") govern your access to and use of our software-as-a-service platofrm, tools, websites, mobile applications, and any related services (collectively, the "Services").

By accessing or using our Services, you ("Client," "User," or "You") agree to these Terms.

If you do not agree, you may not access or use these Services.

Eligibility

You represent that you:

  • Are at least 18 years old,

  • Have the legal authority to enter into this Agreement, and

  • If using the Services on behalf of a company, you have the authority to bind that entity.

Account Registration

You must create an account to access certain features. You agree to:

  • Provide accurate and complete information,

  • Keep your login credentials confidential,

  • Notify us immediately of any unauthorized use of your account.

You are responsible for all activity conducted through your account.

License to Use the Services

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business operations.

You may not:

  • Copy, modify, reverse engineer, or decompile the software,

  • Access the Service to build a competing product,

  • Sell, sublicense, or distribute the software without written consent.

Payments, Billing, and Renewals

Unless otherwise stated:

  • Fees must be paid in advance,

  • Plans renew automatically unless cancelled,

  • All fees are non-refundable except where required by law.

 

We may change our pricing with 30 days' notice.

Client Data

"Client Data" includes all information, documents, files, inventory data, customer details, or dealership information you upload into the platform.

You retain ownership of all Client Data.

You grant us a limited license to process, store, and use Client Data solely to operate and improve the Services.

​

We do not sell Client Data to third parties.

Confidentiality

Both parties agree to keep all non-public information confidential. This includes business plans, financial information, dealership operations, algorithms, and any proprietary materials.

Data Privacy & Security

We use commercially reasonable safeguards to protect data, including encryption, secure hosting, and monitored infrastructure.

However, no system is 100% secure.

By using the Services, you acknowledge that you assume some risk when transmitting data online.

If you require specific compliance frameworks (e.g., GLBA, CCPA, GDPR), we can provide supporting documentation upon request.

Acceptable Use Policy

You may not use the Services to:

  • Conduct illegal activities,

  • Upload malicious code,

  • Interfere with the platform's functionality,

  • Mine data or overload the system,

  • Use the software in a manner that harms other users or our infrastructure.

We reserve the right to suspend accounts violating these rules.

Intellectual Property

All platform features, algorithms, designs, and content we provide are the exclusive property of Opulent Intelligence.

Clients may not reuse or redistribute any part of the software without permission.

All trademarks and branding belong to the company.

Third-Party Integrations

Your use of third-party services (DMV APIs, data providers, credit bureaus, etc.) is governed by their own terms.

We are not responsible for outages, errors, or limitations caused by third-party services.

Service Availability

We strive to maintain 99% uptime but do not guarantee uninterrupted service.

Maintenance windows, updates, and unexpected outages may occur.

We are not liable for losses caused by downtime.

Termination

We may suspend or terminate accounts for:

  • Non-payment,

  • Violations of these Terms,

  • Abusive or illegal behavior.

Upon termination:

  • Your access to the Services will end,

  • We wil retain Client Data for 30 days, after which it may be permanently deleted unless otherwise required by law.

Disclaimers

The Services are provided "as is" and "as available."

We do not guarantee that:

  • The platform will be error-free,

  • The data will always be accurate or complete,

  • Integrations will function without interruption.

Dealership compliance decisions will remain the responsibility of the Client.

Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, special, or consequential damages.

  • Our total liability is limited to the amount paid by the client in the 6 months preceding the claim.

You use the Services at your own discretion and risk.

Indemnification

You agree to indemnify and hold us harmless from claims, losses, or damages arising out of:

  • Misuse of the Services,

  • Violations of these Terms,

  • Uploading or submitting unlawful or harmful content,

  • Business decisions made using outputs from the platform.

Modifications to the Terms

We may update these Terms periodically.

We will notify users of material changes via email or platform notice.

Continued use after changes constitutes acceptance.

Governing Law

These terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.

Any disputes will be resolved through binding arbitration or in courts located in Maricopa County, Arizona.
